Agreement to Terms
By accessing or using the services of Jialuogang Export and Import Limited ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
Services Description
Jialuogang provides China sourcing, manufacturing, quality control, and logistics services for B2B clients. Our services include but are not limited to:
- Product sourcing and supplier verification
- OEM/ODM manufacturing coordination
- Quality control and inspection
- Factory audits
- Logistics and shipping management
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete project specifications
- Make payments according to agreed terms
- Respond to communications in a timely manner
- Comply with all applicable import/export regulations
- Ensure product compliance with destination country requirements
Payment Terms
Our standard payment structure is:
- 30% deposit upon order confirmation
- 40% upon production completion
- 30% before shipment (after QC approval)
Specific payment terms may vary based on project requirements and will be detailed in individual quotations and contracts.
Quotations and Orders
All quotations are valid for 30 days unless otherwise specified. Prices are subject to change based on quantity, specifications, and market conditions. Orders are confirmed only upon receipt of signed agreement and initial deposit.
Quality Control
We conduct thorough quality inspections according to agreed specifications. Any quality issues identified during inspection will be communicated and resolved before shipment. Claims for defects must be reported within 7 days of delivery.
Intellectual Property
You retain ownership of your designs, specifications, and intellectual property. We maintain strict confidentiality and do not share your proprietary information with unauthorized parties. We recommend registering trademarks and patents in relevant jurisdictions.
Limitation of Liability
Our liability is limited to the value of the specific order in question. We are not liable for indirect, consequential, or punitive damages. We are not responsible for delays or failures caused by circumstances beyond our reasonable control.
Confidentiality
Both parties agree to maintain confidentiality of all proprietary information exchanged during the business relationship. This obligation survives termination of services.
Termination
Either party may terminate the business relationship with 30 days written notice. Termination does not affect obligations for orders already in progress. All outstanding payments remain due upon termination.
Dispute Resolution
Any disputes arising from these terms shall first be addressed through good faith negotiation. If unresolved, disputes shall be submitted to arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre.
Governing Law
These terms are governed by the laws of Hong Kong Special Administrative Region.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
